1. Acceptance of Terms

By accessing or using Yappening ("the Service"), a hyper-local anonymous chat application operated by Feleroid ("we," "us," or "our"), you agree to be bound by these Terms of Use ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms constitute a legally binding agreement between you and Feleroid. By creating an account, downloading, installing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility and Account Registration

2.1 Age Requirement

You must be at least 13 years old to use Yappening. If you are under 18, you represent that you have obtained parental or guardian consent to use the Service. We reserve the right to verify your age and may suspend or terminate accounts that violate this requirement.

2.2 Account Creation

You may create an account using:

• Anonymous guest authentication
• Google account
• Apple ID
• Email and password

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

2.3 Account Responsibility

You are solely responsible for all content posted, messages sent, and actions taken through your account, even if someone else uses your account. We are not liable for any loss or damage arising from unauthorized access to your account.

3. Description of Service

Yappening is a location-based anonymous chat platform that enables users to:

• Create and join chat rooms based on geographic proximity
• Engage in anonymous real-time messaging with nearby users
• Customize rooms with wallpapers, colors, and settings
• Use visual effects and animations in conversations
• Manage rooms as owners or moderators
• Purchase tokens for premium features and room upgrades
• Subscribe to Premium membership for enhanced features

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We do not guarantee that the Service will be available at all times or that it will be error-free.

4. Location Services

Yappening requires access to your device's location services to function properly. By using the Service, you consent to the collection and use of your location data as described in our Privacy Policy.

4.1 Location Data Usage

• Location data is used to discover and join nearby chat rooms within a specified radius
• Your location is used to verify proximity to rooms before allowing participation
• Location data may be temporarily stored to maintain room access while you remain in range
• You can disable location services at any time, but this will limit your ability to use the Service

We do not share your precise location with other users. Room owners and moderators can see that you are within range of their room, but not your exact coordinates.

5. User Conduct and Prohibited Activities

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Harass, threaten, intimidate, or harm other users
• Post content that is illegal, harmful, abusive, defamatory, or discriminatory
• Share personal information (yours or others'), including addresses, phone numbers, or email addresses
• Impersonate any person or entity or falsely claim affiliation with any person or entity
• Spam, advertise, or promote commercial products or services without authorization
• Distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to the Service or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scripts) to access or interact with the Service
• Circumvent location-based restrictions or room access controls
• Interfere with or disrupt the Service or servers connected to the Service

Violation of these rules may result in immediate termination of your account, removal of content, and potential legal action.

6. Content and Intellectual Property

6.1 User-Generated Content

You retain ownership of content you create and post through the Service. However, by posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute such content for the purpose of operating and promoting the Service.

You represent and warrant that you have all necessary rights to grant this license and that your content does not infringe upon the rights of any third party.

6.2 Our Intellectual Property

The Service, including its design, features, functionality, and all content not created by users, is owned by Feleroid and protected by Finnish and international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

7. Room Management and Moderation

7.1 Room Ownership

Room creators ("Owners") have the right to:

• Set room rules and guidelines
• Appoint moderators to help manage the room
• Remove, mute, or ban users who violate room rules
• Customize room appearance and settings
• Upgrade rooms to Premium status using tokens
• Review and respond to unban requests

7.2 Moderation Actions

Owners and moderators may take the following actions:

• Mute: Temporarily prevent a user from sending messages
• Kick: Remove a user from the room (they can rejoin if in range)
• Ban: Permanently or temporarily prevent a user from joining a room
• Delete Messages: Remove inappropriate or rule-violating messages

Banned users may submit unban requests to room owners, who have sole discretion to approve or deny such requests.

7.3 Reporting System

Users can report inappropriate content or behavior. Reports are reviewed by administrators, who may take action including warnings, temporary suspensions, or permanent bans. False or malicious reports may result in penalties for the reporting user.

8. Auto-Renewable Subscriptions and Payments

8.1 Premium Subscription - Auto-Renewable

Yappening Premium is an auto-renewable subscription service that provides enhanced features for your account.

Subscription Options:

• Yappening Premium Monthly: Auto-renews every 1 month at the price displayed at the time of purchase
• Yappening Premium Annual: Auto-renews every 1 year at the price displayed at the time of purchase

Subscription Features:

• Ad-free experience throughout the app
• Extended search radius (up to 10km)
• Room insights and analytics
• 300 tokens per month (credited on the first day of each month)
• Enhanced room customization options
• Premium badge on your profile
• Ability to chat from anywhere (not limited by location for room owners)

Auto-Renewal Information:

Your subscription will automatically renew at the end of each subscription period unless you cancel it at least 24 hours before the end of the current period. The subscription will continue to renew automatically until you cancel it.

• Monthly subscriptions renew every 1 month
• Annual subscriptions renew every 1 year
• You will be charged the same price for each renewal period
• Your account will be charged for renewal within 24 hours prior to the end of the current period

How to Cancel Your Subscription:

You can cancel your subscription at any time through your device's app store settings:

• iOS: Go to Settings → [Your Name] → Subscriptions → Yappening → Cancel Subscription
• Android: Go to Google Play Store → Menu → Subscriptions → Yappening → Cancel Subscription

Important: You must cancel at least 24 hours before the end of the current subscription period to avoid being charged for the next period. If you cancel during a subscription period, you will continue to have access to Premium features until the end of that period.

Price Information:

Subscription prices are displayed in the app at the time of purchase and may vary by region. Prices are subject to change, but any price changes will be communicated to you in advance. If the price increases, you will be notified and given the opportunity to cancel before the new price takes effect.

• Prices are shown in your local currency
• Prices include applicable taxes where required
• Prices may vary by country or region
• You will be charged the price displayed at the time of purchase for each renewal

8.2 Premium Room Upgrades

Premium Room upgrades allow room owners to enhance their rooms with premium features for a specified duration. Premium Room upgrades are one-time purchases, not auto-renewable subscriptions.

• Premium Room Monthly: Upgrades your room for 1 month (31 days) - one-time purchase
• Premium Room Annual: Upgrades your room for 1 year (365 days) - one-time purchase

Premium Room upgrades do not auto-renew. When the upgrade period expires, you must manually purchase a new upgrade to continue premium features for your room. Premium Room upgrades are purchased using tokens (virtual currency) or through in-app purchases.

Important: Premium Room upgrades are tied to the specific room and duration purchased. If you want to keep a room as Premium after the upgrade expires, you must purchase a new upgrade. Premium Room upgrades cannot be cancelled or refunded once purchased, as they are one-time purchases that immediately activate premium features for the specified duration.

8.3 Token Purchases

Tokens are virtual currency that can be purchased through one-time in-app purchases. Tokens can be used to:

• Upgrade rooms to Premium status for extended periods
• Purchase visual effects and animations
• Reactivate inactive rooms

Tokens are non-refundable and have no cash value. Token balances are tied to your account and cannot be transferred to other accounts. Token purchases are one-time purchases and do not auto-renew.

8.4 Payment Processing

All payments are processed through third-party payment providers (Google Play, Apple App Store). By making a purchase, you agree to the payment provider's terms and conditions.

• Payment is charged to your app store account at confirmation of purchase
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• You can manage subscriptions through your device's app store settings
• Prices may vary by region and are subject to change without notice
• You are responsible for any taxes applicable to your purchases

8.5 Refund Policy

Refunds for subscriptions and token purchases are handled according to the policies of Google Play and Apple App Store. We do not provide direct refunds.

• Subscription Refunds: Refund requests must be made through your app store (Google Play or Apple App Store) within the time period specified by the store's refund policy
• Token Purchase Refunds: Token purchases are generally non-refundable, but you may be eligible for a refund according to your app store's refund policy
• How to Request a Refund: Contact your app store's customer support directly (Google Play Support or Apple Support)
• Refund Eligibility: Refund eligibility is determined by your app store's policies, not by Feleroid

8.6 Free Trial and Promotional Offers

We may offer free trials or promotional pricing for subscriptions from time to time. If you accept a free trial or promotional offer:

• Your subscription will automatically convert to a paid subscription at the end of the trial or promotional period
• You will be charged the regular subscription price unless you cancel before the trial or promotional period ends
• You can cancel during the trial or promotional period without being charged
• Free trial and promotional offer terms will be clearly displayed when you accept the offer

9. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

As a Finnish company, we comply with the EU General Data Protection Regulation (GDPR) and Finnish data protection laws. You have the right to access, rectify, erase, and restrict processing of your personal data, as well as the right to data portability.

10. Service Availability and Modifications

We strive to provide a reliable service but do not guarantee that the Service will be available at all times or free from errors, interruptions, or security vulnerabilities. We may:

• Perform scheduled or unscheduled maintenance
• Modify, suspend, or discontinue features or the entire Service
• Update the Service to add new features or fix bugs
• Impose usage limits or restrictions

We are not liable for any loss or damage resulting from Service unavailability or modifications.

11. Termination

11.1 Termination by You

You may terminate your account at any time by deleting the app or contacting us at [email protected]. Upon termination, your right to use the Service immediately ceases.

Important: Cancelling your subscription does not automatically delete your account. You must separately delete your account if you wish to remove all your data.

11.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if you:

• Violate these Terms or our Community Guidelines
• Engage in illegal activities
• Harm other users or the Service
• Create multiple accounts to circumvent bans or restrictions
• Fail to pay required fees (for Premium subscriptions)

11.3 Effect of Termination

Upon termination, your access to the Service will be revoked, and we may delete your account and associated data. You will lose access to any Premium features, tokens, or subscriptions. We are not obligated to provide refunds for unused subscription periods or tokens upon termination for violation of these Terms.

12. Disclaimers and Limitation of Liability

12.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY FINNISH LAW, FELEROID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Service
• Unauthorized access to or alteration of your transmissions or data
• Content posted by other users
• Conduct of third parties on the Service
• Any other matter relating to the Service

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or €50, whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless Feleroid, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions.

14.2 Jurisdiction

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Finland. You agree to submit to the personal jurisdiction of such courts.

14.3 Consumer Rights

If you are a consumer residing in the European Union, you may be entitled to additional rights under EU consumer protection laws. Nothing in these Terms limits your rights as a consumer under mandatory provisions of Finnish or EU law.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

• Posting the updated Terms on our website
• Displaying a notice in the app
• Sending an email to registered users (if applicable)

Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Feleroid regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms or any rights hereunder without restriction.
